Brian Dunn

Brian Dunn is the CEO of Growth Capital Services, (member FINRA, SIPC), a firm he founded in 2001. Growth Capital Services provides regulatory infrastructure for affiliated private placement agents, enabling them to conduct securities business legally and efficiently. Dunn also uses his network to find and evaluate investment opportunities for a select group of private equity investors.

Previously, Dunn co-founded Aquillian Investments, a leading investment advisory firm oriented towards ecosystem integrity. He learned the craft of investment banking at Tennyson West, a boutique capital advisory firm located in San Francisco, where he worked on private equity deals in the natural foods and clean tech sectors. Previously, he served as the first Executive Director of Investors' Circle, a socially minded angel investment group that has invested in over 150 ventures since its creation. Dunn spent his pre-graduate years working in micro-finance development in Burkina Faso, Brazil, Haiti and Mozambique.

A born adventurer, Brian has worked and traveled in over one hundred countries and all 50 states. Now settled in San Francisco, he plays bass in a local band and swims in the San Francisco Bay. He is proud to serve on the board of Save the Bay, a 50 year old organization that protects, restores and celebrates San Francisco Bay.

Dunn earned his MBA from the Wharton School of University of Pennsylvania, an MA (Economics) from Johns Hopkins University, and a BA (International Studies) from UC Berkeley. He has FINRA Series 7, 24, 27, 39, 63, 65, 79, and 99 registrations.

Amanda has over 15 years experience in business leader-
ship, project management, strategic planning, marketing communications, staff training, and representative support. She focuses on customer service,
standardizing policies/procedures to provide continuity among internal processes, and creating enhancements in operational efficiencies and accountability. She is dedicated to continuous performance improvement and ensuring compliance with regulatory requirements governing business practices. She has FINRA Series63 and 82 registration.

Amanda earned a B.S. in Nursing with a Psychology minor from Edinboro University of PA, and holds a management certificate from Wharton Business School. Her hobbies include reading (primarily mystery novels and legal thrillers), finding new adventures from ziplining to spelunking to scuba diving, and jogging in Marin County, where she resides.

Chris Palley, an Account Manager with Keeping Your Balance, graduated from Sacramento State University with a business degree in Strategic Management. Upon graduation, he moved to the
Central Coast of California and began work as a District Manager for Round Table Pizza in Santa Barbara County. He was twice recog-
nized with Round Table Pizza’s Manager of the Year Award. After spending more time in a kitchen than anyone ever should, Chris returned to the Bay Area to live the exciting life of a Bookkeeper.

Lou Dalrymple
Lou assists with marketing and business development efforts. Prior to Growth Capital Services, he worked with NETCIRQ, LLC, a secondary direct advisory firm focused on helping shareholders of venture-backed companies
achieve liquidity through facilitating the sale of their private stock. Prior to NETCIRQ, Lou worked with a variety of financial services firms, ranging from M&A advisory to various areas of investment management. Notable experience includes UBS Financial Services, Inc., where he helped support a three-person team of advisers managing nearly $400 million in assets, and Harris Williams & Co., a leading middle-market investment bank.

Before moving to San Francisco, Lou attended Vanderbilt University, where he was pursuing a self-designed major in Financial Economics, Entrepreneurship, and Technology. He maintains an active lifestyle and is a classically trained bassist. He has Series 7, 66 and 79 registrations.

Beth has spent the over 15 years experience helping businesses run efficiently. From marketing to administration and book-
keeping, she looks for creative ways to solve problems. Outside the office, beth is a painter and
shows her work in galleries in the Bay Area and Los Angeles.

Sheryl Evans
Sheryl has over 30 years experience in Design and is the Creative Designer/Proprietor behind Evans Studios, a graphic design business founded in 1986 as a part-time venture, launching as a full-time business
in 2007, serving businesses of all sizes in a variety of industries. Through her studio she offers, graphic, web, and app design.

Sheryl worked 15 years for Raytheon, as a Supervisor of the Art and Photography department and Proposal Team Leader. Moving onto Fresenius Medical Care USA as the Senior Graphic Designer to the President. Her final stop before launching her own company as a full time business was at Laddawn Inc. where she worked for 11 years as a Senior Marketing Creative Designer.

Sheryl attended Assabet Valley where she studied Art, Retailing and Marketing, and The New England School of Art and Design where she studied Graphic Design, Painting and Illustration.

Dennis Azary
Mr. Azary has over 18 years of experience in the financial services industry, especially with broker dealers and investment advisory firms. As the leader of BPM’s regulatory and comp- liance consulting group, Dennis
Dennis specializes in regulatory systems and filing applications, regulatory correspondence, and supervisory controls testing and verification.

During his time as the Chief Compliance Officer of the investment banking firm W.R. Hambrecht + Co., LLC, Dennis served investment banking clients such as Google, Morningstar, and Clean Energy, Inc. He also served as Chief Compliance Officer of Hambrecht’s SEC registered investment advisory firm, Hambrecht Asset Management.

Prior to Hambrecht, Dennis was a senior examiner for the Financial Industry Regulatory Authority (FINRA), then known as NASD. During his tenure at NASD, Dennis functioned as the regulatory point of contact for a large number of varied broker dealers, and conducted regulatory audits of firms such as E*Trade, Wells Fargo, Island ECN (Instinet Group), and Bank of Hawaii’s investment firm.

He has FINRA Series 7, 24, 27, 53, 55 registrations and is a member of the National Society of Compliance Professionals.

Frank Pasterczyk
Mr. Pasterczyk has over 20 years of experience in invest-
ment banking and private equity. Frank has served as an Investment Advisor, Super-
vising Principal, Chief Compliance Officer, Board Member, Director and CEO
of prior companies. He has worked closely with clients, brokers, corporate executives, consultants and regulators. Most recently, Frank has worked as an independent business consultant offering business solutions for corporate structure, financing and due dilligence review.

Frank holds Series 7, 63 and 24 registrations and has been licensed in every U.S. State and territory. He enjoys cooking, fly-fishing, auto racing and is an avid traveler and sports fan, especially University of Alabama Football.

Mr. Ferraro is a shareholder in the San Francisco office of LeclairRyan. He focuses his practice on the representation of emerging growth and established technology companies, founders and
executives, investors, and the financial services firms that serve the investment and technology community. Mr. Ferraro has extensive experience in corporate governance; venture finance; mergers and acquisitions; broker-dealer regulation; preparation and review of SEC and regulatory agency filings; initial and secondary public offerings; intellectual property; commercial transactions; and business and securities litigation.

As an active angel investor and having founded or co-founded several operating companies, Mr. Ferraro brings a unique business understanding to his role as a legal practitioner. This experience affords Mr. Ferraro the ability to offer clients an integrated counseling approach that balances both legal protections and corporate best practices with business, investment and strategic considerations.

Mr. Ferraro received his undergraduate degree from the University of Vermont. After several years working on Wall Street, Mr. Ferraro received his juris doctor with High Honors from Golden Gate University School of Law, where he served as editor of the law review.

Pete Mayer is an associate with LeclairRyan and a member f the firm’s Corporate Services and Venture Capital practice groups, where he advises clients on corporate matters, finance, mergers and acquisitions,
regulatory issues and corporate governance matters. He has represented financial institutions, broker dealers, hedge funds, investment advisors, public and private companies and individuals in structuring public and private transactions, regulatory matters, governmental investigations, and civil enforcement matters.

Mr. Mayer received his undergraduate degree from Tufts University and attended law school at Temple University, from which he graduated with honors and received the Law Faculty Scholarship.

As President and Founder of Vista Compliance, Ms. Brandt works with other Broker Dealer firms to ensure compliance with FINRA, State and SEC regulations. Prior to founding Vista Compliance, Ms. Brandt
was Vice President at a FINRA member firm that conducted private placements and was responsible for managing the compliance program under the firm’s CCO. Ms. Brandt began her career at Goldman Sachs, where she worked in both their Private Wealth and Managed Account Divisions.

Scott advises on technology strategy and supports the Growth Capital Services compliance infrastructure. He has forged a diverse 15-year career path in areas such as Sports Event Management and
Operations, Program Management, Project Management, IT Services, and Sales & Marketing. During this time Scott has worked with the Fortune 100, federal, state & local governments, as well as small and mid-market companies.

Scott is the Founder and CEO of Scoja, Inc., a technology strategy and implementation consultancy, based in San Francisco's Financial District. A Los Angeles native, Scott holds a B.A. in Political Science from California Polytechnic State University, San Luis Obispo and lives with his family in San Rafael, CA.
